Terms of Sale

These Terms of Sale (“Terms”) govern purchases made through the online store operated by Arcturus Industries LLC, doing business as Arcturus Vision (“we,” “us,” or “our”).

These Terms apply to consumer purchases made through our Shopify-hosted online store.

By placing an order, you agree to these Terms. If you do not agree, do not place an order.

Certain provisions apply only to consumers purchasing products primarily for personal, family, or household use.

The product offered for sale is the Arcturus Vision Camera, a hardware camera accessory designed for use with compatible virtual reality headsets.

Product descriptions, specifications, images, compatibility information, and related content describe the product. Minor non-material differences may occur between product images and the delivered product.

Compatibility may depend on the headset model, firmware, software, operating environment, third-party products, and other factors outside our control. You are responsible for reviewing the published compatibility information before ordering.

References to third-party platforms, headsets, software, devices, or services, including Steam Frame, are for compatibility purposes only. Unless expressly stated otherwise, we are not affiliated with, endorsed by, or sponsored by those third parties.

We may update product specifications, packaging, documentation, or included accessories, provided that the changes do not materially reduce the product’s core functionality.

Before placing an order, you will be provided with information concerning:

• our identity and contact details;
• the product’s main characteristics;
• the total price and applicable taxes;
• shipping costs and estimated delivery;
• accepted payment methods;
• applicable cancellation, withdrawal, return, refund, and warranty rights;
• complaint-handling procedures; and
• these Terms and other applicable policies.

You may review and correct your order and see the amount payable before submitting it.

Products are offered subject to availability.

We may limit quantities, discontinue products, or refuse orders where permitted by law. Displayed availability is not guaranteed until the order is accepted.

Prices and applicable shipping costs are shown in the currency displayed at checkout. The final amount payable will be shown before you submit your order.

All orders are shipped delivered duty paid (DDP). Your checkout total includes all applicable taxes, duties, import charges, clearance charges, and other mandatory fees collected by us or our service providers. You will not be charged additional import costs on delivery, except where additional charges result directly from inaccurate or incomplete information you provide.

We may correct pricing errors. If we cancel an order after payment because of a pricing error, we will refund the amount paid.

5.1 Switzerland Recycling Contribution

For products supplied in Switzerland, any applicable advance recycling contribution is included in the purchase price. Do not dispose of the product with household waste. At the end of its useful life, you may return it free of charge to an appropriate Swiss retailer or collection point for recycling through the SWICO Recycling system. Find a collection point at swico.ch/collection-points.

To place an order, select the product, review your cart, provide the required billing and shipping information, review the final order, and submit it through checkout.

Submitting an order constitutes an offer to purchase. An automated order acknowledgement or payment confirmation does not constitute acceptance.

A binding contract is formed when we confirm that the product has shipped.

Before shipment, we may refuse, cancel, or limit an order where permitted by law, including because of product unavailability, a user request, a pricing error, suspected fraud, a violation of these Terms, or a legal restriction. If we cancel an order after receiving payment, we will refund the applicable amount.

Payments are processed through Shopify and applicable payment service providers.

Accepted payment methods are displayed at checkout. You represent that you are authorized to use the payment method submitted with your order.

We may authorize or charge the payment method before accepting the order. Receipt of payment does not itself constitute acceptance.

We currently ship to selected countries and regions, including the United States, European Union, United Kingdom, Canada, Australia, New Zealand, Japan, and Switzerland. Available destinations may change.

Delivery estimates are not guaranteed unless expressly agreed or required by law.

Delivery may be affected by incorrect customer information, customs processing, carriers, or events outside our reasonable control. This does not affect any mandatory right relating to timely delivery, cancellation, or reimbursement.

Risk of loss or damage passes to you when the product is delivered to you or to a person designated by you, except where applicable law provides otherwise.

Order acknowledgements, shipment confirmations, receipts, delivery updates, support messages, and other order-related communications may be provided electronically, including by email.

You are responsible for providing a valid email address and reviewing communications relating to your order.

Products must be used safely and in accordance with applicable instructions, documentation, warnings, and laws.

Unauthorized modifications, improper installation, misuse, or use contrary to instructions may affect performance, safety, regulatory compliance, warranty coverage, and support availability where that conduct caused or contributed to the relevant issue.

Warranty coverage will not be denied solely because you used third-party parts or repair services. However, damage or defects caused or materially contributed to by a third-party part, service, modification, or repair may be excluded.

Consumer rights vary by country and region. We will comply with all mandatory consumer protection laws applicable to your purchase, including non-waivable rights relating to conformity, repair, replacement, price reduction, refund, return costs, or other remedies.

Nothing in these Terms excludes, limits, or modifies any right or remedy that cannot lawfully be excluded, limited, or modified.

Any voluntary return policy or commercial warranty offered by us applies in addition to, and does not replace, reduce, or limit, your statutory rights.

Where a valid statutory claim requires us to bear or reimburse return shipping or related costs, we will do so as required by law.

Additional return rights or commercial warranties apply only where expressly stated below. Where no regional provision applies, your rights are governed by the mandatory laws applicable to your purchase.

11.3 Returns and Claims Procedure

To exercise a return, withdrawal, warranty, or other applicable consumer right described in Section 11, contact support@arcturus.vision. We will provide the applicable instructions and the address to which the product should be sent.

For a warranty or statutory consumer claim, we may request reasonable information necessary to assess the claim, including proof of purchase, a description of the issue, and photographs or video where appropriate. We may also require the product to be returned or otherwise made available for inspection where reasonably necessary.

Products must be packaged appropriately and sent only to the return address provided by us. Do not send products to the seller’s legal address or the EU authorized representative’s address unless we expressly instruct you to do so.

Sending a product without first contacting us may result in delays, but does not affect any mandatory statutory right.

Responsibility for return shipping and related costs is governed by Section 11 and applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, we are not liable for losses that were not reasonably foreseeable when the contract was entered into or that result from misuse of the product or use contrary to applicable instructions.

Nothing in this Section limits any mandatory consumer right or remedy.

Products may not be purchased, exported, re-exported, transferred, or used in violation of applicable export-control, trade, customs, or sanctions laws.

We may refuse or cancel an order where necessary or appropriate to comply with applicable law.

We process personal information in accordance with the applicable privacy policies made available through our website and online store.

Nothing in these Terms excludes, limits, or modifies any right, remedy, guarantee, protection, or obligation that cannot lawfully be excluded, limited, or modified.

If a provision conflicts with mandatory law, it will apply only to the maximum extent permitted by that law.

If any provision of these Terms is invalid, unlawful, or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain effective.

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles.

If you are a consumer, this choice of law does not deprive you of any mandatory protection available under the laws of your country or region of residence.

Nothing in these Terms limits your right to use a competent court, regulator, consumer protection authority, or mandatory dispute-resolution procedure.

We may update these Terms from time to time.

The version made available to you and in effect when you place an order will apply to that order.

These Terms, together with the order details and any policies expressly incorporated into them, constitute the agreement governing your purchase.

Nothing in this section excludes any representation, information, or obligation that forms part of the contract under mandatory law.

Neither address listed in this Section is a return, inspection, repair, or warranty-service address. Do not send any products, packages, or returns to either address unless we expressly instruct you to do so in writing.
